ADVENTURE REWARDS PROGRAM TERMS AND CONDITIONS

PLEASE READ THESE ADVENTURE REWARDS PROGRAM TERMS AND CONDITIONS CAREFULLY AS THEY DESCRIBE YOUR RIGHTS AND RESPONSIBILITIES AND TOGETHER WITH OUR WEBSITE TERMS OF USE, PRIVACY POLICY, AND RETURN POLICY, FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU AND OUTDOOR 5 LLC/EDDIE BAUER, A DELAWARE LIMITED LIABILITY COMPANY ("COMPANY") REGARDING YOUR PARTICIPATION IN THE ADVENTURE REWARDS PROGRAM (“PROGRAM RULES”).

Acceptance of Adventure Rewards Terms & Conditions

BY PARTICIPATING IN THE ADVENTURE REWARDS PROGRAM ("PROGRAM"), YOU AGREE TO ACCEPT THE CURRENT VERSION OF PROGRAM RULES AND ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND CONSENT TO OUR PROGRAM RULES, WHICH INCLUDES BUT IS NOT LIMITED TO OUR PRIVACY POLICY, WHICH DESCRIBES HOW WE COLLECT, USE, AND SHARE INFORMATION. THE WEBSITE TERMS OF USE INCLUDE A BINDING ARBITRATION PROVISION, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER THAT APPLY TO THE PROGRAM. FOR ADDITIONAL INFORMATION, SEE THE "DISPUTE RESOLUTION; LIMITATION OF LIABILITY" SECTION BELOW AND THE WEBSITE TERMS OF USE.

COMPANY RESERVES THE RIGHT TO UPDATE OR MODIFY THESE PROGRAM RULES OR TERMINATE THE PROGRAM AT ANY TIME. SEE. IF REQUIRED BY LAW, WE WILL PROVIDE NOTICE. THOSE CHANGES WILL GO INTO EFFECT ON THE LAST UPDATED DATE SHOWN IN THE REVISED PROGRAM RULES, OR AS REQUIRED BY LAW. FOR THIS REASON, WE ENCOURAGE YOU TO REVIEW THE PROGRAM RULES WHENEVER YOU VISIT OUR WEBSITE. YOUR CONTINUED PARTICIPATION IN THE PROGRAM AFTER WE MAKE CHANGES TO THE PROGRAM OR TO THESE PROGRAM RULES SIGNIFIES YOUR ACCEPTANCE OF SUCH CHANGES.

The Program

This Program is offered exclusively by Company (also referred to as "we," "our," or "us"). As stated above, Members (also referred to as "you" and "your") participating in the Program agree to be bound by these Program Rules as they may change from time to time. These terms and conditions also incorporate by reference the Company Website Terms of Use, the Company Return Policy and the Company Privacy Policy. If there is a conflict between any of the Program Rules, the provisions in the “Complete Understanding Section” below shall apply.

These Program Rules supersede all previous terms and conditions applicable to the Program. All Program benefits, including offers, rewards, and services, are subject to availability.

In all matters relating to the administration of the Program, Company's decision will be final. Under no circumstances will Company be held liable for any delay, error, or failure in performance due in whole or in part to any acts of nature or other cases beyond our reasonable control. See Liability below.

You are responsible for reading, understanding, and remaining knowledgeable of the Program Rules, your account statements and available benefits, and other communications from Company (including any changes), to understand your rights, responsibilities, and status in the Program. If you have questions about the Program or these Program Rules, contact Customer Service. 

You are responsible for any tax liability related to participation in the Program.

Changes to the Program or Your Membership

Except as otherwise expressly prohibited or limited by applicable laws, Company may at any time amend, modify, supplement, or terminate the Program, the Program Rules, the structure for earning benefits, or the structure of membership even if such changes may affect the value, ability to obtain, and/or availability of benefits. If notice of such action is required by law, it will be provided in accordance with such laws. Your continued enrollment in the Program after any amendment, modification or supplement constitutes your acceptance of them.

We reserve the right to cancel, suspend, or limit your participation in the Program in the event of fraud, abuse of benefits, violation of Program Rules or any applicable laws, or at our discretion. Any Adventure Rewards points ("Points") in your account will become void at the time of cancellation.

If the Program is terminated for reasons other than the above, then, as permitted by law, all benefits, including Points will be forfeited without any obligation or liability and will not be honored upon termination or after the conclusion of the notice period (if any notice is required by law).

We may revoke some or all of your Points if we determine that you received them through error, fraud or deception, or in any manner not authorized.

Privacy

Any personal information you provide to us in connection with the Program will be handled in accordance with the Company Privacy Policy, available at [hyperlink to Eddie Bauer Privacy Policy https://www.eddiebauer.com/policies/privacy-policy]. When you enroll in the Program and provide us your email address, you are opting in to receiving marketing emails from us. You may update your marketing email preferences at any time. See Company Privacy Policy for more information on how to do so. Please note that even if you opt out of receiving marketing emails, you may continue to receive transactional, account-related and service-related emails from us regarding the Program.

ADVENTURE REWARDS ELIGIBILITY AND ENROLLMENT

Program membership is available to any United States resident who has reached the age of majority and provides valid and accurate information when enrolling. Individuals may enroll in the Program by creating an account on our website at https://www.eddiebauer.com/pages/adventure-rewards. You represent and warrant that all information provided is accurate and current each time you log in. Once enrolled, you receive the Member status and are entitled to the benefits of membership as set out herein. Corporations, groups, associations, and other business entities are ineligible to participate in the Program. Company may deny membership at its sole discretion and without written notice. Program enrollment and benefits are nontransferable, unless expressly stated otherwise, and are forfeited upon a member's death.

Your email address is your Program membership identifier and must be provided at checkout at EddieBauer.com to earn points on purchases. To receive Program communications, including event promotions, you must ensure your email address is accurate and current. Company is not responsible for communications, offers, or benefits sent to out-of-date email addresses. Status

Unlocking higher status is based on the net balance of a member's purchases each calendar year ("Net Purchase Balance" or "NPB"). The NPB for purchases made online at Eddie Bauer is the purchase amount after returns, adjustments, discounts, taxes, shipping and handling and any amounts redeemed in Adventure Points have been deducted. You do not earn Points on gift card you purchase. Each status is unlocked at the minimum NPB as set out below:

Adventurer: no minimum NPB-$299

Explorer: $300 of $599 NBP

Guide: $600 + NBP

Levels are achieved based on for the remainder of the calendar year (January 1 to December 31) and the following full calendar year. You receive your new level as soon as you qualify for it, and you maintain that level for the following calendar year. At the end of the first full calendar year, your status will be determined based on your purchases the previous calendar year. If you did not make any qualifying purchases in that year, your membership level resets to the lowest tier. For example, on June 1, 2026 you make $700 worth of qualifying purchases and you achieve Guide status. You retain Guide status for the remainder of 2026 and all of calendar year 2027. If you make no qualifying purchases in 2027, on January 1, 2028 your status reverts to Adventurer. However, if during 2027, you made $350 of qualifying purchases, as of January 1, 2028 your status would be adjusted to Explorer.

Canadian purchases made in Canadian dollars will be converted to US dollars for purposes of determining Levels. Conversions will be made by the Program in its sole discretion.

ADVENTURE REWARDS BENEFITS

Members will receive exclusive benefits in the form of Points, services, member only discounts and/or event access, with such benefits varying by status.

Points

BASE POINTS: Members earn base points amount for each dollar ($1) of net spend at EddieBauer.com. See Table A and exclusions below.

OTHER BENEFITS:

Free Shipping: Members will be eligible for free shipping at varying NPB amounts depending on the member’s level and the country from which the order is placed.

Member Only Sales: Details of member-only sales, if any, will be disclosed at the time of the offer.

Eddie Bauer Adventure Club Owners Only: Eddie Bauer Adventure Club Owners (this is a separate vacation club, call customer service for additional information) receive a discount code for up to 50% off select regularly priced merchandise. Additional terms and conditions may be disclosed when these codes are provided. Discount codes may not be combined with any other discount or offer or transferred to any other person. Discount codes cease being valid upon sale of your ownership interest.

Eddie Bauer Adventure Club Owners are also automatically enrolled in the highest rewards benefit tier and stay in that tier for the entirety of their ownership. Upon the sale of the ownership interest, the tier level will be determined by your spend over the past rolling 12-month period and then follow the requirements herein.

Table A

EARNING POINTS: To earn Points on purchases at EddieBauer.com, you must self-identify at checkout by either logging into your website account with your or by providing your email address at checkout, which serves as your Program membership identifier.

Points will generally be added to your Adventure Rewards account within 72 hours of your payment. You must notify us of any account discrepancies within two weeks of your purchase. Failure to notify us timely will result in no adjustments being made to your earned Points.

CALCULATION OF POINTS: Points are calculated by multiplying the net spend amount with the member's base points amount.

For the purposes of calculating points, purchase and net spend amounts are rounded to the nearest dollar. The net spend on purchases made at EddieBauer.com is the amount after returns, discounts, taxes, shipping, tips, and any amount redeemed in Points have been deducted. Points earned for items that are later returned will be deducted from your points balance. Subtracting points from your account (for example, if you return items) may result in a negative points balance. If this happens, subsequent points earnings will be used to bring your points balance to zero.

EXCLUSIONS: You do not earn points on charitable donations or purchases of gift cards. Promotions or offers may include additional exclusions that will be disclosed within the promotion or offer terms.

EXPIRATION: All points expire after twelve (12) months after issuance.

BONUS POINTS: At our sole discretion, Company may offer the opportunity to use/earn Bonus Points. Generally, members will be notified of any Bonus Points promotions via email. The promotional materials and notifications may identify additional qualifying events, exclusions, and restrictions applicable to Bonus Point offers. Bonus Points differ from standard Points and may have a shorter expiration date, as indicated in the promotion. Restrictions apply as set out herein and in promotional materials.

REDEEMING POINTS: When purchasing items at EddieBauer.com, you may choose to either redeem previously earned Points or continue saving Points to use on a future purchase. If you elect to redeem earned Points, the Points will be converted into redemption dollars and the value of the redemption dollars will be deducted from the total price of your purchase. Earned Points are converted into redemption dollars at the following tiers:

(1) 500 points = $5

(2) 1000 points = $10

(3) 1500 points = $15

(4) 2000 points = $20

(5) 2500 points = $25

(6) 3000 points = $30

(7) 3500 points = $35

(8) 4000 points = $40

(9) 4500 points = $45

(10) 5000 points = $50

The maximum amount of redemption dollars that can be redeemed in a single transaction is 5,000 points, with a 10,000 point limit per day. Other restrictions, such as a minimum purchase requirement may apply and will be disclosed prior to redemption.

VALUE OF POINTS: Points have no cash value, cannot be exchanged for cash or credit, may not be purchased or sold, and do not constitute property. You have no ownership interest in Points. The use of the word "earn" or any similar language in Program materials does not imply that Points have any value prior to conversion or redemption.

Points are not transferable.

Status and Benefits

You are eligible for certain benefits based on your status. Benefits are only available at EddieBauer.com. Points must be used within 12 months of when they are earned, and any unused Points will be forfeited at the end of the 12-month rolling period.

The benefits for each status are generally identified above in Table A and in some cases are described further below. Restrictions apply as identified herein and as communicated in any promotional materials.

RETURNS AND REFUNDS

Returns and Refunds. Returns and refunds of merchandise are subject to the Company's Return Policy. If merchandise purchased using Points is returned or refunded, the Points used for the purchase will be reinstated to your account in accordance with these Program Rules, provided the return or refund is processed in accordance with the Return Policy. If a purchase was made using a combination of Points and another form of payment, any refund will be allocated between the Points and the other form of payment in accordance with Company procedures in effect at the time of the return. Company reserves the right to adjust a Member's Point balance to reflect any return, refund, cancellation, credit, chargeback, or other transaction affecting a qualifying purchase.

MEMBERSHIP CANCELLATION

You may cancel your membership in the Program at any time by calling Customer Service.  Cancelling your rewards membership also cancels your online shopping account unless you call Customer Service and request to retain your online shopping account.

ADDITIONAL TERMS OF PARTICIPATION

Dispute Resolution; Limitation of Liability.

All disputes arising out of or relating to the Program, and all limitations on Company's liability arising from or relating to the Program, shall be governed by the applicable provisions of the Website Terms of Use, which are incorporated herein by reference. The Website Terms of Use control with respect to dispute resolution, arbitration, class action waiver, jury trial waiver, limitations of liability, indemnification, and other legal terms of general application, all of which apply to and govern your participation in the Program. 

Severability

If any provision of these Program Rules or the application of any such provision to any person or circumstance is held invalid, illegal, or unenforceable for any reason whatsoever, the remaining provisions of these Program Rules and the application of such provisions to other persons or circumstances shall not be affected. To the fullest extent possible, a court finding such provision invalid, illegal, or unenforceable shall modify and construe the provision so as to render it valid and enforceable as against all persons or entities and to give the maximum possible protection to persons subject to indemnification within the bounds of validity, legality, and enforceability.

Provisions of this Agreement that by their nature should survive its termination, do so.

No Waiver

Eddie Bauer's failure to insist upon or enforce strict compliance with any provision of these Program Rules shall not be construed as a waiver of any provision or right and will not prevent us from enforcing such right or provision in the future. Nothing in these Program Rules will limit Eddie Bauer's from exercising any legal rights or remedies that it may have.

Headings

The headings for each of these Program Rules are for convenience of reference only. Such headings shall be ignored in the interpretation or construction of any of these Program Rules.

Complete Understanding

These Program Rules, together with the Website Terms of Use, Privacy Policy, Return Policy, and any other documents expressly incorporated by reference, constitute the entire understanding between you and Company with respect to the Program.

In the event of a conflict among these documents, the Website Terms of Use shall control with respect to legal terms of general application (including dispute resolution, arbitration, class action waiver, jury trial waiver, limitations of liability, and indemnification), the Privacy Policy shall control with respect to privacy and data practices, the Return Policy shall control with respect to returns and refunds, and these Program Rules shall control with respect to Program-specific benefits, eligibility, points, rewards, and Program administration.

Errors or Inconsistencies

Despite our best efforts to ensure accuracy, errors may occasionally occur. We reserve the right to correct such errors at any time even if it affects pending benefits in your account. In the event of any inconsistency or discrepancy between the Program Rules or other statements contained in any related materials or advertising, the terms of the then-current Program Rules shall prevail, govern, and control.
